Regulation for Application
1. The terms of Reference The term Exhibition means "International Logistics Expo 2008" (iLOGEX2008), currently scheduled to be held on August 26th to 29th, 2008 (the exhibition dates) at Chanwon Exhibition Convention Center (CECO, the Exhibit Facility). The term Organizer means The Korea Economic Daily (KED) and its representatives and employee. The term Exhibitor means the company or person that applied for exhibit space rental. 2. Liability Exhibitor shall on a current basis indemnify, defend (with legal counsel satisfactory to Organizer), and hold Organizer and the Exhibit Facility harmless from any and all claims, demands, suits, liabilities, damages, losses, costs, reasonable attorneys fees and expenses which result from or arise out of or in connection with the Exhibition or Exhibitors participation, whether caused by negligence, intentional act, accident, act of God, theft, mysterious disappearance or otherwise. Under no circumstances shall Organizer or the Exhibit Facility be liable for any lost profits or any incidental, special, indirect, punitive or consequential damages whatsoever for any of their acts or omissions, whether or not apprised of the possibility of any such lost profits or damages. Inno Exhibition shall Organizers maximum liability under any circumstance exceed the amount actually paid to Organizer by Exhibitor for exhibit space rental pursuant to this contract. Organizer makes no representations or warranties, express or implied, regarding the number of persons who will attend the Exhibition or regarding any other matters. 3. Application for Participation All applications for participation shall be made on the prescribed Application Form. The Application Form shall be submitted to Organizer accompanied by the Deposit for the rental of the Exhibition Space. The Deposit is 50% of the total participation fee. Organizer reserves the right to accept or refuse any application without giving any reason therefore. 4. Qualifications of Exhibitor Organizer, in its sole discretion, determines whether a prospective exhibitor is eligible to participate in the Exhibition. Eligibility is generally limited to persons or firms who supply products and services to converting, package or specialty printing and related markets. Applicants who have not previously exhibited at the Exhibition may be required to submit a description of the nature of their business and the items to be exhibited on the application form. Organizer reserves the right to restrict or remove any exhibit, which Organizer, in its sole discretion, believes is objectionable or inappropriate. Exhibitor shall conduct itself at all times in accordance with normal standards of decorum and good taste. In addition to its right to close an exhibit and withdraw acceptance of the contract, Organizer in its sole judgment may refuse to consider for participation in future Exhibitions and Exhibitor who violates or fails to abide by the contract and any of the accompanying rules and regulations. 5. Licensing and Allocation of Exhibit Space Exhibition Space is licensed to Exhibitor only. Exhibitor is not allowed to sub-license the Exhibition Space allocated to it, either wholly or in part, without the prior written consent of Organizer. Exhibitor is not allowed to give out, even in part, or exchange their stand with third parties. Organizer may allocate the Exhibition Space in any manner as they deem fit but will take into account such factors as the order of applications received and the nature of exhibits. Organizer reserves the right to change the Exhibition Space allocated to the Exhibitor, to alter the size and dimensions of the Exhibition Space, to change or close entrances and exits and access to the Exhibition Space and to undertake other structural alterations as they deem fit. Such changes shall be at the discretion of Organizer and the Exhibitor shall have no claim for compensation as a result of any changes. 6. Terms of Payment Payment of the Fees by the dates hereunder indicated is of the essence to participation by the Exhibitor in the Exhibition. Manner of payment shall be in two installments: (1) 50% of the total amount to be paid at the date of reservation so as to attach a copy of the bank transfer to the original application form (2) 50% balance to be paid on or before 26th JULY 2008. 7. Cancellation by Exhibitor If Exhibitor desires to cancel this contract, Exhibitor may only do so by giving notice thereof in writing sent to Organizer. In such case, Exhibitor will continue to be liable for 100% of the total exhibit fee unless written notice of cancellation is received by Organizer no later than 26th MAY 2008. If the cancellation received on or before 26th MAY 2008, the exhibitors will be liable for 70% of the total exhibition fee. The penalty will be deducted from the Participation & Advertising fee, if it has been already paid. If not, the Exhibitor should pay the penalty as being applied. 8. Cancellation by Organizer If Exhibitor fails to make a payment required by this contract in a timely manner, Organizer may terminate this contract (and exhibitors participation in the Exhibition) without further notice and without obligation to refund money previously paid. Organizer reserves the right to refuse Exhibitor permission to move in and set up an exhibit if Exhibitor is in arrears of any payment due to Organizer. No on-onsite sales without the permission by Organizer are allowed. If Exhibitor violates this rule, Organizer has the right to remove its exhibits or order the dismantling of the assigned booth. Organizer may also terminate this contract effective upon written notice of termination if Exhibitor breaches any of its obligations under this contract, without any obligation on Organizers part to refund any payments previous made and without releasing Exhibitor from any liability arising as result of or in connection with such breach. 9. Cancellation of the Exhibitor Organizer reserves the right to cancel, re-name or re-locate the Exhibition or change the dates on which it is held. If Organizer cancels the Exhibition, half of the Deposit will be refunded to Exhibitor. If the cancellation or change is due to circumstances beyond the reasonable control of Organizer (such as acts of God, acts of war, governmental emergency, labor strike or unavailability of the Exhibit Facility), no refund will be due to Exhibitor. 10. Exhibit Space Occupancy Exhibitor must make its own arrangements for transportation of exhibits to and from the Exhibit Facility and for storage of exhibits and packaging materials. All exhibits and stand furnishings must be confined to the area of the Exhibition space. Hours and dates for installing, occupying and dismantling exhibits shall be those specified by the Organizer (refer to the Exhibitors Manual supplied by the Organizer). If Exhibitor fails to install its display in its assigned space or leaves its space unattended during the Exhibit hours, Organizer shall have the right to take possession of the space and no refund will be due to Exhibitor. All exhibits must be open for business during the Exhibition hours. Exhibitor may not dismantle the display until the Exhibition is officially closed by Organizer. All exhibits are brought to, displayed at and removed from the Exhibit Facility at the Exhibitors own risk and should be safeguarded by the Exhibitor at all times. Organizer shall take no responsibilities for any loss, theft and damage to exhibits at the Exhibit Facility and any article belonging to Exhibitor during the Exhibition period including move-in and move-out day. 11. Care of the Exhibit Facility Exhibitor shall observe the CECO Rules and Regulations. Exhibitor shall ensure that all display material and construction should be fireproofed by the regulations of Republic of Korea. Should circumstances necessitate, Organizer has the right to make changes Exhibitors stand in the interest of fire control. No Exhibitor may alter or in any way affect the structure or fixtures of the Exhibit Facility. Exhibitor shall promptly pay for any and all damages to the Exhibit Facility or associated facilities, booth equipment or the property of others caused by Exhibitor. 12. Insurance Exhibitor shall, at its own expense, secure and maintain through the term of this contract, including move-in and move-out days, the insurance is to Workers Compensation and Comprehensive General Liability for bodily injury and property damage, including coverage for personally injury, contractual, and operation of mobile equipment, products and liquor liability (if applicable). 13. Supplementary Clauses Whenever necessary, Organizer has the right to amend the rules and regulations and issue supplementary regulations in addition to those in the Terms and Conditions for Exhibition and to ensure the smooth management of the Exhibition. Any amendment to this contract must be in writing and signed by an authorized representative of Organizer. Any additional and/or amended written regulation instructions shall form a part of the Terms and Conditions for Exhibition and they shall be binding on Exhibitors. 14. Arbitration of Dispute Any dispute, difference or question which may arise at any time hereafter between Organizer and Exhibitor touching on the true construction of these Terms and Regulations for Participation or the rights and liabilities of the parties hereto shall be finally settled by arbitration in accordance with the Commercial Arbitration Rules of the Korean Commercial Arbitration Board in Seoul, Korea. The award of the above arbitration shall be final and binding upon both parties. 15. Governing Law and Jurisdiction These Terms and Conditions shall be governed and construed in all respects in accordance with the laws of Republic of Korea and the Exhibitor submits to the nonexclusive jurisdiction of the court of Republic of Korea.
